1. Acceptance of Terms
By accessing or using the services provided by Aonxi, Inc., a Delaware C Corporation ("Aonxi," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
2. Description of Services
Aonxi provides intelligence automation services that analyze customer conversations to improve marketing effectiveness. Our services include call recording, AI-powered analysis, human verification, and automated marketing optimization designed to help businesses improve lead quality and close rates.
3. User Obligations
You agree to:
- Provide accurate and complete information when using our services
- Maintain the confidentiality of any account credentials
- Use our services only for lawful purposes
- Obtain necessary consent from individuals before recording conversations
- Not interfere with or disrupt the operation of our services
- Comply with all applicable laws and regulations including data protection laws
4. Intellectual Property
All content, materials, and intellectual property related to our services, including but not limited to trademarks, logos, software, algorithms, and proprietary methodologies, are owned by Aonxi, Inc. or our licensors. You may not use, reproduce, or distribute any of our intellectual property without prior written consent.
5. Data Ownership and Usage
You retain ownership of all conversation data, transcripts, and customer information provided to our services. We will not use your data to train AI models or share it with third parties without your explicit permission. You may export or delete your data at any time.
6. Service Agreements and Payment
Specific terms of service delivery, pricing, and payment terms will be outlined in separate service agreements. All fees are due as specified in your service agreement. We reserve the right to modify our pricing with 30 days' notice. You may cancel your subscription at any time with written notice.
7. Performance Guarantee
We guarantee KPI-positive results within 60 days of service activation. If you do not achieve positive ROI within this period, we will continue working at no additional charge until you do. This guarantee requires your active participation in rating conversations and implementing recommended changes.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This obligation survives the termination of our services. We implement industry-standard security measures to protect your data.
9. Limitation of Liability
To the maximum extent permitted by law, Aonxi, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid by you for our services in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Aonxi, Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or violation of any laws or regulations including recording consent requirements.
11. Termination
Either party may terminate services with 30 days' written notice. We reserve the right to terminate immediately for violations of these Terms. Upon termination, you will retain access to export all your data, and all rights granted to you under these Terms will cease.
12. Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York, NY. Each party shall bear its own costs.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by email and by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
16. Entire Agreement
These Terms, together with any separate service agreements, constitute the entire agreement between you and Aonxi, Inc. regarding our services and supersede all prior agreements and understandings.
